Dear Mr. Honig:

This letter is to inform the respondents named in the above-referenced order ("Order") that, pursuant to Paragraph III.A. of the Order, the Commission has appointed Arnold H. Lederman of Garrick-Aug Associates Store Leasing, Inc. to serve as trustee to effect the remaining divestitures required by Paragraph II of the Order. By letter dated August 23, 1996, respondents have consented to the appointment of Mr. Lederman.

Pursuant to Paragraph III.B.3. of the Order, the respondents have ten (10) days from the date of this letter to execute a trustee agreement to transfer to Mr. Lederman all rights and powers necessary to effect the relevant divestitures.
