Dear Mr. Calvani:

This letter responds to the Petition of ChevronTexaco Corporation ("ChevronTexaco") for Approval of Proposed Divestiture of Its Interest in the Enterprise Fractionating Plant ("Petition"), dated March 11, 2002, filed by ChevronTexaco. Pursuant to the order in FTC Docket No. C-4023, ChevronTexaco requests prior Commission approval of its proposal to divest its interest in the Enterprise Fractionating Plant to Enterprise Products Operating L.P.

After consideration of the Petition and other available information, the Commission has determined to approve the Petition. In according its approval, the Commission has relied upon the information submitted and the representations made in connection with the Petition and has assumed them to be accurate and complete.
