Subject: Question re Certification (803.6)

Good morning,

I had a question regarding certification where I would appreciate your guidance. Through a resolution, a corporate entity board has delegated authority to certify the HSR filing to someone that is not an officer or director of that corporation. I believe this delegee could certify based on https://www.ftc.gov/legal-library/browse/hsr-informal-interpretations/1807006 and https://www.ftc.gov/legal-library/browse/hsr-informal-interpretations/1906003. Do you agree?
