Subject: Change in deal value after filing

Hi PNO folks. I think I know the answer to this, but want to confirm. We filed an HSR a while back on a transaction that (at the time) appeared valued at $202 million or greater but less than $1,009.8 million. In the intervening weeks, the value (including equity rollover) has gone down, so the deal when it closes will be valued in excess of $101 million but less than $202 million.

I don’t believe we need to do anything, as the HSR was accurate at the time we filed. But I just wanted to confirm I’m not missing anything..
