Hart-Scott-Rodino Advice

Dear Mr. Abrahamsen:

This letter is to confirm our conversation of last

week concerning the acquisition by a British concern of a

general partnership interest in an American partnership

engaged in the investment banking business in which you in-

formed me that the staff of the Federal Trade Commission is

of the view that the acquisition or transfer of a partnership

interest does not require any filing pursuant to the Hart-

Scott-Rodino Antitrust Improvements Act of 1976.

I wish to thank you once again for your assistance

on this matter.
