Dear Mr. Sharpe:

This is to confirm our telephone conversation of this date wherein you indicated to me that you had reviewed my letter of September 1, 1983, concerning the formation of a joint venture between certain Swedish municipalities and power authorities which I represent, and certain other entities. You indicated that in your view, no premerger notification filing needed to be made in connection with formation of the joint venture described in my letter of September 1, 1983.
