Gentlemen:

This letter is to confirm the conversation which I had this morning with (redacted) of your office regarding whether the proposed consolidation of six foreign corporations as summarized in my letter to you dated April 12, 1988 (a copy of which is enclosed), requires the filing of a Premerger Notification and Report Form for Certain Mergers and acquisitions (Premerger Notification) under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. (Redacted) advised me that the staff of the Commission has made an informal ruling pursuant to Rule 803.30 that a Premerger Notification does not have to be filed with respect to the aforementioned transaction and that a notation of such ruling has been recorded in your files.
