Dear Mr. Hancock:


Reference my letter to you dated December 13, 1989 and our telephone conversation today.


This letter will serve to confirm that, based on our conversation, it is your view that, assuming the Loan was provided in Lenders ordinary course of business, the transaction described in the December 13 letter would be exempt pursuant to 16 C.F.R. 802.63(a) from premerger notification filing requirements.
