This office and the Antitrust Division of the Department of Justice have received Notification and Report Forms concerning the proposed acquisition by (redacted)f certain assets of The (redacted) from (redacted). This transaction is non-reportable (redacted) purchases from a state government agency are exempt under the Hart-Scott-Rodino Act and Section 801.1 of the rules pursuant to 15 U.S.C. 7A(c)(4) of the Clayton Act. Therefore, the parties need not observe the waiting period required by 7A(b)(1) of the Clayton Act, 15 U.S.C. 18a(b)(1), prior to consummating the proposed transaction.
