Dear Mr. Sharp:

This will confirm our conversation today concerning the Hart-Scott-Rodino Act and the regulations implementing the Act, wherein you sated that it is the FTCs position that a limited partnership stands alone for purposes of the Act and regulations, has no ultimate parent entity, and is not controlled by any entity, regardless of the size of the general partner.
