Dear Mr. Smith:

I am confirming your advice in our telephone conversation of January 5, 1994, that you have reviewed my letters of December 29 and 30, 1993, and agree with the analysis set forth therein, except that the transaction would be exempt from the requirements of the Act under 16 CFR 802.51(b)(1), rather than under 802.51(c), as stated in the second-to-last paragraph of my December 29 letter. I very much appreciate the correction and your cooperation in this matter.
