Dear Ms. Ovuka:
This letter will confirm our telephone conversation of yesterday wherein you informed me that the transaction described in my letter dated December 10, 1992, is exempt from filing under the Hart-Scott-Rodino Antitrust Improvements Act. The basis of the exemption from reporting would be that the original Premerger Notification and Report Form clearly covered this transaction. (PNO staff note: yes) Alternatively, the intra-person exemption may be applied to the sole voting member of a nonprofit corporation. (PNO staff note: no) Thank you for your prompt response to my inquiry.
