Subject: Dated HSR Notification

Hi Nancy,

My clientexecuted an HSR Notification on a Letter of Intent lastFriday. The parties have had ongoing negotiations on other side agreements and havenot yet given given me permission to file the HSRNotification. The HSR Notification is dated June 30, 2004.

If I file the HSR Notification next week will I need my client resign the HSR Notification as of a more recent date? My client's UPE is a publiccompany so there might have been some additional SECfilings made but otherwise the information in the HSR Notification remains current and complete.
